Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Resilience Project platform ("Platform"), including all services, tools, data analysis capabilities, and related features provided by the Resilience Project ("we," "us," "our," or "Company"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.

Continued use of the Platform following any modifications to these Terms constitutes your acceptance of the updated Terms. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform.

2. Eligibility and User Obligations

You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding agreements. The Platform is intended for use by healthcare professionals, researchers, clinical institutions, and authorized personnel engaged in legitimate medical research and clinical analysis.

You agree to use the Platform solely for lawful purposes and in compliance with all applicable federal, state, and international laws, including but not limited to:

  • Health Insurance Portability and Accountability Act (HIPAA)
  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)
  • Food and Drug Administration (FDA) regulations
  • All applicable medical and clinical research regulations

3. Platform Services and Limitations

The Platform provides clinical-grade AI-powered analysis tools for addiction deterrence research and intervention optimization. These services include:

  • Predictive modeling for opioid use disorder relapse risk assessment
  • Biomarker analysis and neurochemical prediction
  • Intervention strategy optimization
  • Data science and statistical analysis services
  • Clinical decision support tools

Critical Limitations: The Platform outputs are provided on an "as-is" basis without warranties of any kind. Platform-generated analyses:

  • Are not a substitute for professional medical judgment or clinical evaluation
  • Do not constitute medical advice, diagnosis, or treatment recommendations
  • Must be independently verified by qualified healthcare professionals
  • Are subject to inherent limitations in predictive accuracy and model generalization
  • Should not be used as the sole basis for clinical decision-making

4. User-Generated Data and Intellectual Property

You retain all ownership rights to data you provide to the Platform ("User Data"). By submitting User Data, you grant the Company a non-exclusive, worldwide, royalty-free license to:

  • Process and analyze User Data to provide Platform services
  • Generate de-identified, aggregated insights for service improvement
  • Conduct research on Platform efficacy and model performance

The Company will not share, sell, or disclose User Data to third parties except as required by law or with your explicit written consent. All Platform-generated outputs, including analyses, models, and recommendations, are owned by the Company but may be used by you for legitimate clinical and research purposes.

5. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to the Platform or its systems
  • Reverse-engineer, decompile, or attempt to derive the underlying algorithms or models
  • Scrape, crawl, or automate access to Platform content without authorization
  • Transmit malware, viruses, or any code intended to disrupt Platform functionality
  • Harass, threaten, or abuse other users or Company personnel
  • Submit false, misleading, or fraudulent data
  • Use the Platform to develop competing services or products
  • Violate intellectual property rights of the Company or third parties
  • Engage in any form of abuse, fraud, or misuse of Platform services

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. The Company disclaims all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, completeness, or reliability of Platform outputs
  • Warranties that the Platform will be uninterrupted, error-free, or secure
  • Warranties regarding the suitability of Platform outputs for clinical decision-making

The Company makes no representation that Platform outputs are clinically validated, FDA-approved, or suitable for any specific clinical application. Users are solely responsible for independent verification and clinical validation of all Platform-generated analyses.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of revenue, profit, or data
  • Business interruption or loss of business opportunity
  • Harm to patients or clinical outcomes resulting from reliance on Platform outputs
  • Regulatory penalties or compliance violations
  • Reputational harm or loss of professional standing

The Company's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to access the Platform in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the Company's liability shall be limited to the greatest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform in violation of these Terms
  • Your violation of applicable laws or regulations
  • Your submission of false, misleading, or fraudulent data
  • Your infringement of third-party intellectual property rights
  • Clinical harm or adverse outcomes resulting from your use of Platform outputs

9. Data Security and Breach Notification

The Company implements industry-standard administrative, technical, and organizational safeguards to protect User Data from unauthorized access, disclosure, alteration, and destruction. However, no security system is impenetrable, and the Company does not guarantee absolute security.

In the event of a confirmed data breach affecting User Data, the Company will notify affected users without unreasonable delay in compliance with applicable data protection laws, including GDPR and CCPA. Notification will include the nature of the breach, data affected, and recommended protective measures.

10. Third-Party Services and Links

The Platform may integrate with or link to third-party services, including payment processors, data repositories, and analytical tools. The Company is not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies. The Company disclaims all liability for third-party service failures or data breaches.

11. Suspension and Termination

The Company reserves the right to suspend or terminate your access to the Platform immediately and without notice if:

  • You violate these Terms or applicable laws
  • You engage in fraudulent, abusive, or harmful conduct
  • Your use poses a security risk or threatens Platform integrity
  • You misuse Platform outputs in violation of clinical or regulatory standards

Upon termination, your access to the Platform will cease, and you must cease all use of Platform services and outputs.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any disputes arising from these Terms or your use of the Platform.

For users located in the European Union, these Terms shall also comply with the laws of the jurisdiction in which you are located. Any disputes shall be resolved through binding arbitration in accordance with GDPR requirements.

13. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Company's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
